FedEx Freight Advances Plans for Independent Spinoff

MEMPHIS, Tenn. — FedEx Freight has completed its transition toward becoming an independent publicly traded company after FedEx Corp. advanced and finalized plans to separate its less-than-truckload (LTL) freight business, creating a standalone transportation company focused on North American freight operations.

FedEx announced that the separation was completed on June 1, 2026, with FedEx Freight Holding Company beginning regular-way trading on the New York Stock Exchange under the ticker symbol “FDXF.” FedEx Corp. continues trading separately under the ticker “FDX.”

The spin-off was executed through the distribution of 80.1% of FedEx Freight’s outstanding shares to FedEx shareholders on a pro rata basis, while FedEx retained a 19.9% ownership stake following the separation. FedEx said it plans to dispose of the retained shares within 24 months through transactions including debt-related exchanges or distributions to shareholders, according to the company.

FedEx Chief Executive Officer Raj Subramaniam said the separation was intended to establish two independent companies with distinct operating focuses. “The successful separation of FedEx Freight is a pivotal milestone,” Subramaniam said in a company announcement, adding that the move was designed to position both businesses for their respective strategies.

FedEx Freight, which operates in the LTL shipping market, is now led as an independent company with its own board and management structure. The company previously announced a board of directors ahead of the separation, including R. Brad Martin as chairman and John Smith as president and chief executive officer.

The company’s strategy after the separation centers on operating as a focused LTL carrier, with management outlining plans involving network investment, technology initiatives and operational efficiency efforts. FedEx Freight has described itself as the largest North American LTL carrier, serving customers through a nationwide freight network.

Following the spin-off, FedEx Freight issued its first standalone financial outlook, forecasting revenue growth of about 4% to 6% for the period from June through December 2026 compared with the same period a year earlier. The company also provided adjusted operating income guidance for the transition period as it moved to a calendar-year reporting structure.

The separation is part of FedEx’s broader effort to reorganize its business structure after years of operating freight, parcel delivery and logistics services under one corporate umbrella. FedEx said the independent structure would allow each company to pursue its own priorities while maintaining separate public market identities.
