SAN FRANCISCO — Anthropic is preparing for a potential Nasdaq listing in October, according to people familiar with the matter, as the artificial intelligence company moves closer to the public markets in a race with other leading AI firms seeking investor backing.

The company behind the Claude artificial intelligence models has already taken a formal step toward an initial public offering, confidentially submitting a draft registration statement on Form S-1 to the U.S. Securities and Exchange Commission on June 1, Anthropic said. The filing does not set the number of shares, pricing terms or a final timetable, and the company said any offering would depend on regulatory review and market conditions.

Anthropic’s possible October listing comes as public investors are watching a wave of large private technology companies prepare to enter the stock market, with artificial intelligence firms among the most closely followed candidates. Rival AI company OpenAI has also been reported to be pursuing a public offering process, increasing competition between the companies for investor attention.

The company has attracted significant private investment as demand for generative AI systems has expanded. Anthropic raised $65 billion in a funding round announced in May, according to reports, at a valuation of about $965 billion. The company has not disclosed IPO valuation targets or offering size.

Anthropic, founded in 2021 by former OpenAI researchers, develops large language models and AI applications including Claude, which competes with products from OpenAI, Alphabet’s Google and other technology companies. The company has emphasized AI safety research as part of its public identity and business strategy.

A public listing would provide investors with a direct opportunity to gain exposure to a major AI developer, while also subjecting Anthropic’s financial performance, growth expectations and operating costs to public market scrutiny. Companies developing advanced AI systems have faced questions from investors over the cost of computing infrastructure, research spending and the path toward sustained profitability.

Anthropic has not announced final underwriters, exchange approval or a confirmed IPO date. The company’s June regulatory announcement stated that the proposed offering was not an offer to sell securities and that any future sale would occur only through a registration process compliant with U.S. securities laws.

The company’s latest confirmed step is the confidential S-1 submission, with any Nasdaq listing dependent on SEC review, market conditions and Anthropic’s decision to proceed.
