SEOUL—South Korean memory chipmaker SK Hynix is preparing for a landmark U.S. trading debut as the company moves ahead with a Nasdaq listing of American depositary receipts (ADRs), seeking to broaden its global investor base and capitalize on strong demand for artificial intelligence-related semiconductor stocks, according to regulatory filings and company statements.

The company has said it plans to issue 17.79 million new shares through ADRs, with 10 ADRs representing one common share. SK Hynix previously estimated the transaction could raise as much as 45.45 trillion won (about $29.4 billion), although the final size was subject to investor demand and pricing following bookbuilding.

The offering represents one of the largest overseas equity sales ever attempted by an Asian technology company and reflects growing international investor interest in semiconductor manufacturers benefiting from the rapid expansion of AI infrastructure.

SK Hynix said proceeds from the offering would be used primarily to finance production facilities and strengthen its manufacturing capacity as demand for high-bandwidth memory (HBM) chips continues to increase. The company has become a key supplier of advanced memory used in AI accelerators and data-center hardware.

The planned U.S. listing follows months of preparation after the company announced earlier in 2026 that it intended to pursue an ADR program to improve access for international investors. Company filings stated that details of the transaction, including the final number of securities sold and pricing, would be determined after the marketing process.

Analysts have said a Nasdaq listing could expand SK Hynix's shareholder base by making its shares more accessible to U.S. institutional and retail investors, many of whom face operational barriers when investing directly in South Korean equities. The move also places the company alongside major global semiconductor firms already listed on the technology-focused exchange.

The planned debut comes during a period of strong investor interest in AI-linked chipmakers, with memory manufacturers benefiting from rising spending on data centers and advanced computing systems. At the same time, investors have closely monitored semiconductor valuations amid broader market volatility and geopolitical uncertainty affecting the technology sector.

SK Hynix has said the ADR listing forms part of its broader strategy to strengthen global competitiveness and improve access to international capital markets. As of July 17, the company had completed the necessary regulatory steps outlined in its filings, with the latest confirmed developments focused on finalizing the U.S. trading debut in accordance with the offering timetable disclosed to investors.
